Company: Resso Group Inc. (“Resso.ai”, “we”, “us”)
Applies to: Resso.ai services provided to schools, school boards, and other educational institutions (“Institutions”), including K–12 and post-secondary (the “Services”).
These Terms of Service (the “Terms”) govern access to and use of the Services in an Education/Institutional deployment. By accessing or using the Services under an Institution deployment, you agree to these Terms and the Resso.ai Education & Institutional Privacy Policy (the “Privacy Policy”).
If an Institution has signed a written agreement with Resso.ai (including a Master Subscription and Services Agreement, Order Form, Data Protection Addendum, or similar) (the “Institution Agreement”), the Institution Agreement governs and controls in the event of any conflict with these Terms.
1) Scope and intended users
The Services are intended for use by Institutions and their authorized users (including students, educators, and administrators) as configured by the Institution (e.g., board-wide, school-wide, class/cohort-based, pilot).
These Terms apply only to Education/Institutional deployments. Corporate/commercial offerings and marketing websites are governed by separate terms and policies.
2) Roles and responsibilities
Institutions are responsible for:
• authorizing use of the Services within their environment
• ensuring their users comply with applicable law and board policy
• managing local governance decisions (e.g., permitted use, classroom practice, supervision)
Resso.ai is responsible for:
• providing, supporting, and securing the Services in accordance with these Terms, the Privacy Policy, and any applicable Institution Agreement
3) Accounts, identity, and access
Access may be provisioned by the Institution (rosters, invitations, or SSO) or created by authorized users as permitted by the Institution’s configuration.
Users must:
• provide accurate information where required
• keep credentials confidential
• not share accounts
• notify the Institution or Resso.ai promptly if unauthorized access is suspected
Institution administrators are responsible for managing roles and permissions and for ensuring access is appropriate to each user’s role.
4) Acceptable use
Resso.ai grants the Institution and its authorized users a limited, non-exclusive, non-transferable right to access and use the Services for educational purposes and internal administration, subject to these Terms.
You may not (and may not allow anyone to):
• use the Services for unlawful purposes or in violation of board policy
• attempt to gain unauthorized access to accounts, data, systems, or networks
• bypass or disable security or access controls
• introduce malware, viruses, worms, or harmful code
• use the Services to send spam, phishing, or fraudulent messages
• interfere with or disrupt the Services or their operation
• scrape, harvest, or collect personal information without authorization
• reverse engineer or attempt to derive the source code, except to the extent such restrictions are prohibited by law
• use the Services in a way that infringes intellectual property or privacy rights of others
We may suspend or restrict access to protect users, the Institution, or the Services from security risks, misuse, or unlawful activity, and will provide notice to the Institution where reasonably practicable.
5) Content ownership and intellectual property
Student and educator content created or uploaded in the Services (“User Content”) remains owned by the student/educator or the Institution, as applicable under board policy. Users do not surrender copyright.
Resso.ai receives a limited license to host, process, transmit, and display User Content solely to provide, secure, and support the Services and to comply with legal obligations.
The Services (including software, interfaces, designs, and Resso.ai-provided content) are owned by Resso.ai and its licensors and are protected by intellectual property laws. Except for the limited rights granted in these Terms, no rights are transferred.
If the Institution or users provide feedback or suggestions, Resso.ai may use them to improve the Services without obligation, provided we do not disclose the Institution’s confidential information without permission.
6) Privacy, data handling, and education-specific commitments
Our collection, use, disclosure, retention, and protection of personal information in Education deployments is described in the Privacy Policy, which is incorporated by reference.
Education-specific commitments:
• no targeted advertising in the Education application
• no GPS collection
• no tracking student behavior outside of the Services (no browsing/search/social tracking)
• no email marketing to students
• no sharing student personal information with business partners for joint marketing or promotional purposes
• default Ontario data residency: Azure Canada regions, unless otherwise agreed in writing
Analytics:
• any analytics used for marketing purposes are limited to public marketing websites and are not embedded in the Education application environment
AI and model training:
• Institution data is not used to train Resso.ai models or third-party foundation models unless the Institution explicitly opts in through a written agreement defining scope and safeguards
7) Subprocessors and third-party services
We use vetted service providers (“Subprocessors”) to deliver and secure the Services (e.g., hosting, authentication, monitoring, support). Subprocessors process data only on our instructions and under contractual safeguards at least as protective as ours.
The Services may include links to third-party sites or services. Resso.ai is not responsible for third-party services and their terms/policies. Use of third-party services is at your own risk and subject to their terms.
8) Fees, subscriptions, renewals, and procurement
Fees, subscription scope, and term are set out in the applicable Institution Agreement or Order Form.
Any renewal terms (including auto-renewal) apply only if expressly stated in the applicable Institution Agreement or Order Form.
9) Service changes and updates
We may update the Services to improve functionality, security, and performance.
For material changes to these Terms, we will provide notice to Institutions by one or more of:
• email to the Institution’s designated contact(s)
• in-app administrative notice
• prominent notice within the Services prior to changes taking effect
Continued use after the effective date of updated Terms constitutes acceptance, except where the Institution Agreement provides otherwise.
10) Support and availability
Support channels and response expectations are set out in the Institution Agreement or support documentation provided to the Institution.
We strive to provide reliable Services, but availability may be impacted by maintenance, updates, or factors outside our control.
11) Security, incident response, and breach notification
We maintain administrative, technical, and physical safeguards appropriate to the Services, including encryption in transit and at rest, role-based access controls, and monitoring.
We maintain an incident response process for containment, investigation, remediation, and communication. If a confirmed incident involves Institution data, we will notify the Institution without undue delay and in accordance with any timeframe specified in the applicable Institution Agreement.
12) Termination and effect of termination
Subscription term and termination rights are governed by the applicable Institution Agreement.
Upon expiration or termination, access will be disabled in accordance with the Institution Agreement. Data export and deletion will be handled per the Institution Agreement and the Privacy Policy.
13) Disclaimers
To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Resso.ai does not warrant that the Services will be uninterrupted, error-free, or that all outputs will be perfectly accurate for every user or context. The Institution remains responsible for educational decisions and oversight of student use.
If an Institution requires specific warranties, service levels, or audit rights, those must be agreed in writing in the Institution Agreement.
14) Limitation of liability
To the maximum extent permitted by law:
• Resso.ai will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenue, data, or goodwill, arising out of or related to the Services or these Terms.
• Resso.ai’s total aggregate liability arising out of or relating to the Services or these Terms will not exceed the amounts paid by the Institution to Resso.ai for the Services in the 12 months preceding the event giving rise to the claim, unless the applicable Institution Agreement states otherwise.
Some jurisdictions do not allow certain limitations; in such cases, these limitations apply to the fullest extent permitted.
15) Indemnity
Users agree to indemnify and hold harmless Resso.ai from claims arising out of their misuse of the Services or violation of these Terms.
Where an Institution is the contracting party, indemnity and allocation of risk are governed by the Institution Agreement. If no Institution Agreement exists, the Institution agrees to indemnify Resso.ai for claims arising from the Institution’s deployment configuration, authorization of user access, or violation of law/board policy, except to the extent caused by Resso.ai’s breach of these Terms.
16) Governing law and jurisdiction
For Education deployments with Ontario Institutions, these Terms are governed by the laws of Ontario and the federal laws of Canada applicable therein, and the parties submit to the courts located in Ontario, unless the Institution Agreement specifies otherwise.
For Institutions outside Ontario, governing law and venue may be specified in the Institution Agreement.
17) Miscellaneous
Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
Assignment: The Institution may not assign these Terms without written consent, except as permitted in the Institution Agreement. Resso.ai may assign these Terms as part of a corporate reorganization or sale, subject to successor obligations described in the Privacy Policy and any applicable Institution Agreement.
Entire agreement: These Terms, the Privacy Policy, and any applicable Institution Agreement and Order Form constitute the entire agreement regarding the Education/Institutional Services and supersede prior oral or written understandings on the same subject.
